NOTICE OF DISSOLUTION
December 2, 2024
TO ALL CREDITORS AND PERSONS HAVING CLAIMS AGAINST AMPLIO NETWORK, a Washington nonprofit corporation in dissolution:
PLEASE TAKE NOTICE that, pursuant to provisions of the Washington Nonprofit Corporation Act (the “Act”), Amplio Network, a Washington nonprofit corporation (the “Corporation”), filed articles of dissolution with the Secretary of State of the State of Washington on November 2, 2024, effective as of the date thereof. Thus, the Corporation has been dissolved and the period for winding up its affairs has begun. The Corporation is furnishing this notice pursuant to the notice procedures set forth in Section 24.03A.920 of the Act.
Under Section 24.03A.920 of the Act, a dissolved nonprofit corporation may bar possible against it by publishing notice of its dissolution meeting the requirements enumerated in Section 24.03A.920 of the Act for three successive weeks in a newspaper of general circulation in the county where the principal office of such nonprofit corporation or, if none in the State of Washington, its registered office, is or was last located. Such notice must (i) describe information that must be included in a claim, (ii) provide a mailing address where a claim may be sent, (iii) state that a claim against the dissolved nonprofit corporation will be barred unless a proceeding to enforce the claim is commenced within three years after the last publication of the notice. THIS NOTICE CONSTITUTES THE NOTICE CONTEMPLATED BY SECTION 24.03A.920 OF THE ACT.
Accordingly, if you believe you have a claim for payment or equitable relief or a claim contingent upon the occurrence or nonoccurrence of future events or otherwise conditional or unmatured against the Corporation (each a “Claim”) against the Corporation, you must present each such Claim in accordance with the procedures set forth below:
(a) All Claims must be presented in writing and must contain sufficient information reasonably to inform the Corporation of the identity of the claimant and the substance and extent of, and any security or collateral securing, the claim.
(b) Claims and supporting documentation should be sent to the following address: 15600 NE 8th St., Ste B-1, #912, Bellevue, WA 98008, Attn: President.
Because the Corporation has published this notice in accordance with Section 24.03A.920 of the Act, the claim of each of the following claimants is barred unless the claimant commences a proceeding to enforce the claim against the Corporation within two years after the publication date of the notice: (1) a claimant who did not receive written notice under Section 24.03A.918 of the Act; (2) a claimant whose claim was timely sent to the Corporation but not acted on; and (3) a claimant whose claim is contingent or based on an event occurring after the effective date of dissolution of the Corporation. ANY AND ALL SUCH CLAIMS AGAINST THE CORPORATION WILL BE BARRED IF PROCEEDINGS TO ENFORCE SUCH CLAIMS HAVE NOT BEEN COMMENCED WITHIN THREE YEARS OF THE LAST PUBLICATION DATE OF THIS NOTICE.
THIS NOTICE does not revive any Claim barred or subject to a statute of limitations as of the date hereof or any date after the date hereof, nor does it constitute acknowledgment that you are a proper claimant of the Corporation. This Notice does not operate as a waiver of any defense or counterclaim that any of the Corporation may have in respect of any Claim asserted by you. This notice does not bar any claim based on a contingent liability or an event occurring after the effective date of the dissolution.
